Key Differences from Commercial Property
Procurement Rules
Public sector disposals must often follow best-value requirements (Section 123 for local authorities). Sales below market value require Secretary of State consent or community benefit justification.
Restrictive Covenants
Government-disposed properties frequently carry covenants restricting future use — particularly former MOD, NHS, and education sites. These must be assessed before purchase.
Community Rights
Assets of Community Value (ACV) give community groups a right to bid when listed properties come to market. The Localism Act 2011 moratorium period can delay disposal by up to six months.
Environmental Obligations
Public sector sites — particularly infrastructure, utilities, and former industrial use — may carry contamination liabilities, environmental permits, or remediation obligations that transfer to the buyer.

- Identify the opportunity — Government Property Agency disposals, local authority surplus registers, NHS Property Services listings, and MOD estate releases
- Due diligence — Title restrictions, planning status, listed building or conservation constraints, contamination reports, asbestos surveys, and access rights
- Valuation — RICS Red Book valuation typically required; public sector may instruct independent valuation to demonstrate best value
- Negotiation and heads of terms — Public bodies often use standard forms; flexibility may be limited compared to private transactions
- Legal completion — Solicitors specialising in public sector property recommended; overage and clawback clauses are common on development sites
